Version 2026-10-30-v5
Terms of Service
Effective date: 2026-10-30 (UTC)
Welcome to Shelby AI (the "Service"), operated by GRIM J9NOVANEXUS ANALYTICS LLC, a single-member limited liability company in the United States ("we", "us"). These Terms, together with our Usage Policy and Privacy Policy, form the agreement between you and us. By registering for or using the Service, you confirm that you have read, understood, and agree to all three documents.
1. Eligibility
1.1 Age. You must be at least 18 years old. We do not offer the Service to minors and will disable accounts we find were created by minors.
1.2 Supported regions. The Service is available only in the regions we publish as supported. Because our model providers do not support certain countries and regions, the Service is not available in mainland China, Hong Kong, or Macau, or in any other unsupported region. You may not use a VPN, proxy, false information, or another person's account to get around regional restrictions, and you may not use the Service on behalf of an organization that is incorporated or headquartered in an unsupported region, or that is majority-owned (more than 50%), directly or indirectly, or otherwise controlled by persons or entities in an unsupported region. We check your region at registration, at sign-in, and on each request. If you sign in from an unsupported region, you can still confirm your email address, but your account will be placed under a regional restriction: you will only be able to view the regional notice and request a review, and you will not be able to use any other part of the Service.
1.3 Organizations. If you use the Service on behalf of a company or other organization, you confirm that you are authorized to accept these Terms on its behalf.
2. Accounts
2.1 To register, you must verify your email address and a phone number from a country or region we accept for phone verification, and provide accurate information. The list of accepted phone regions may include places where the Service itself is not offered: whether you may use the Service depends on where you are located (Section 1.2), not on where your phone number was issued.
2.2 Each person may hold only one account. Your account is for your personal use only and may not be sold, rented, transferred, or shared.
2.3 You are responsible for keeping your email and phone secure and for all activity under your account. Contact us right away if you believe your account has been compromised.
2.4 Verifying your email signs you in. Before you can use the workspace, you must also verify your phone number, accept these Terms, the Usage Policy and the Privacy Policy, and confirm that you are at least 18 years old.
3. The Service
3.1 The Service offers two features: app building (describe an app in one sentence and receive a previewable web app) and chat (ask questions and talk with AI).
3.2 The Service uses models from third-party providers (currently Anthropic and OpenAI). Available models, features, and limits may change at any time.
3.3 The Service does not provide an API. We do not give users API keys, endpoints, or any programmatic access. You may not use the Service as an API relay, proxy, or resale channel.
3.4 Generated apps are previewed in an isolated sandbox with security restrictions. Some browser features (such as pop-up dialogs, local storage, and network requests) may not be available.
3.5 Web search. Where web search is offered for a model, it is used only when you turn it on for a request. The model provider's built-in search tool retrieves information from third-party websites. Search results and cited sources may be incomplete, out of date, or wrong, and the websites they come from are governed by their own terms and policies. Web search may use more points, as shown in the product.
3.6 Support. We provide support by email and, where enabled, through an in-product support messenger. Support conversations are handled as described in the Privacy Policy.
4. Points, Plans, Purchases, and Rewards
4.1 Points. Usage is measured in "points." Each request is converted to points based on the actual model cost it incurs, which may be multiplied by the point multiplier shown on our pricing page. Before a request starts, we hold the estimated maximum number of points; when it finishes, we charge the actual usage and release the rest.
4.2 Weekly allowance. Each plan includes a weekly point allowance that resets every Monday at 00:00 UTC. Unused weekly allowance does not carry over. If your plan changes during a week, points you have already used that week still count toward the new allowance.
4.3 Plans.
| Plan | Price | Weekly allowance | Duration |
|---|---|---|---|
| Free | Free | 100 points | — |
| Pro | US$20 | 2,000 points | One calendar month |
| Max | US$100 | 10,000 points | One calendar month |
Pro and Max are one-time purchases that do not renew automatically. A paid period starts at the time the payment provider records your payment as made, not when we receive or confirm it, and ends on the same day of the following month (or on that month's last day if it has no such day). When a paid period ends, your account returns to Free unless you buy again. Features and limits that differ between plans, such as available models and output length, are shown in the product.
4.4 Upgrading from Pro to Max. While a Pro period is active, you may upgrade to Max for the rest of that period. The upgrade price is the Max price minus the amount you actually paid for your current Pro period, multiplied by the share of that period still remaining, and rounded. Your current expiry date does not change. We show you the exact price, and how long that price is valid, before you pay. We do not charge your payment method automatically. If a payment is made after the quoted price has expired, or cannot otherwise be matched to your quote, we will review it and either activate the upgrade or refund the payment.
4.5 Additional points. You may buy additional points: 1,000 points for US$5, or 5,000 points for US$20. Additional points are valid for 90 days from the time the payment provider records your payment as made, and are used after your weekly allowance for the current week is used up. Buying additional points does not change your weekly allowance or its reset schedule.
4.6 Weekly reset cards. A weekly reset card restores your weekly allowance for the current week. Paid cards cost US$8 (Pro) or US$35 (Max) and are valid for 30 days from the time the payment provider records your payment as made. To use a card: you must have an active membership of the matching plan; you may use at most one card per UTC week; and your remaining weekly allowance must be at or below 20%. A card does not extend your membership. If your membership ends before you use a card, you must renew the matching plan before the card expires in order to use it. These conditions are shown before purchase, and you must accept them to buy a card. Reset cards issued free of charge are subject to the conditions shown with them.
4.7 Prices, taxes, and payment. Prices are in US dollars. Any applicable taxes are shown at checkout. Payments are processed through Shopify and its payment providers; we do not receive or store your full card number. We may change prices for future purchases; a price change does not affect a period or item you have already paid for.
4.8 Activation. After we verify a payment with our payment provider, the purchased plan, points, or card is normally added to your account automatically. If a payment cannot be matched to your purchase (for example, because it was made after the checkout link expired, or the amount or account does not match), we will review it and either add the purchase or refund the payment. Seeing a payment confirmation does not mean the purchase has already been added. Validity periods are counted from the time the payment provider records your payment as made, even if the purchase is added to your account later.
4.9 No cash value. Points, reset cards, and referral rewards can be used only within the Service. They have no cash value and cannot be withdrawn, transferred, sold, or exchanged for API credit of any kind.
4.10 Truncation. If a response is cut off because it reached the output limit, we absorb the cost of truncated app builds and charge no points for them; truncated chat responses are charged for their actual usage.
4.11 Unconfirmed usage. If we cannot confirm the actual usage of a request, the related points stay on hold until we reconcile them and then charge or release them. We will not treat such a request as free, and we will not repeat it automatically.
4.12 Refunds. You can ask for a refund by contacting support. A refund request, its review, a refund that is pending with the payment provider, and a completed refund are separate stages, and the product shows which stage applies; a request does not mean money has been returned. We decide on refunds and process them through our payment provider; refunds are not issued automatically. Plans, points, and cards that have already been used are generally non-refundable. When a refund is made, the related plan period, unused points, and unused cards are removed. If a payment is disputed with your bank or card issuer, the related purchase may be suspended until the dispute is resolved; a dispute does not by itself restrict the rest of your account.
4.13 Your statutory rights. Nothing in these Terms limits rights you have under mandatory consumer protection law. If you are a consumer in the European Union, the United Kingdom, or another place whose law gives you a right to withdraw from a purchase of digital services, we will honor that right as the law requires, including the rules that apply once you have asked us to start providing a service during the withdrawal period.
4.14 Referral rewards. You may invite others with your referral code. When a person you invited makes a purchase, you receive a reward equal to 10% of the net amount we verify we have received for that purchase. A reward stays pending for 14 days and becomes usable only when no refund or unresolved payment dispute is pending for that purchase. Rewards can be used only to buy items in the Service. If the purchase is refunded or disputed, the related reward is reversed; if you have already used it, your reward balance may become negative, and you cannot redeem rewards again until the balance is positive. Inviting yourself or using fake or duplicate accounts to obtain rewards is not allowed, and we may withhold or reverse rewards obtained that way.
5. Content and Intellectual Property
5.1 Your content. What you submit ("Input") and what the Service generates for you ("Output") are together "Content." As between you and us, and to the extent permitted by law, you retain your rights in Input and you own Output. We hereby assign to you any rights we may have in Output.
5.2 License to us. You permit us to process your Content to provide, maintain, and protect the Service, including safety review and abuse investigations. We do not use your Content to train models.
5.3 Limits of Output. AI-generated content may be inaccurate, incomplete, biased, or similar to content generated for others. You are responsible for evaluating and verifying Output and should not rely on it as your sole source of medical, legal, financial, or other professional advice.
5.4 Our rights. We and our licensors own the Service's software, interface, brand, and documentation. Except as expressly granted in these Terms, we grant you no other rights.
5.5 Shared content. When you share an app, you permit us to host it and show it to the people who can access it under the settings you chose, until you withdraw it or we remove it.
6. Rules of Use
You must follow our Usage Policy. We run automated safety review on Input and Output and may refuse, stop, or hide requests and responses that do not comply. You may not:
- reverse engineer, decompile, or try to extract the Service's source code, models, or system prompts;
- bypass regional, identity, allowance, rate, or safety limits;
- access the Service by automated means (crawlers, scripts, or bulk accounts);
- use Output to develop models that compete with us or our model providers;
- interfere with, attack, or test the security of the Service without our written authorization.
7. Sharing Apps
7.1 You may share an app you built at a link of the form erbimedia.com/share/ followed by a random identifier. You choose whether the link is open to anyone who has it, protected by a password, or limited to signed-in users. The number of apps you can share at the same time depends on your plan. Custom domains are not currently offered.
7.2 Before an app is shared, we review the exact version you selected. Shared apps run in a restricted environment without network access. Apps open to anyone with the link are shown as static pages, without scripts or form submission. Apps protected by a password or limited to signed-in users may run with the same restrictions as the preview (Section 3.4) on supported browsers. A shared app may look or behave differently from its preview.
7.3 Shared apps are user-generated content and are labeled as such. You are responsible for what you share and must have the rights to it. Shared apps must follow the Usage Policy.
7.4 Anyone can report a shared app. We review reports manually and may remove a shared app or withdraw access to it. A report alone does not suspend your account. You can withdraw a shared app at any time.
7.5 Links in a shared app may lead to third-party websites. We are not responsible for those websites.
8. Restrictions, Suspension, and Termination
8.1 Depending on the violation, we may issue a warning, suspend the account, apply a regional restriction, require re-verification, or permanently disable the account. A warning does not stop you from using the Service. A suspension of a team affects only that team's space.
8.2 You may request review of a specific restriction. Each appeal applies to the restriction it concerns. For a suspension, you may appeal within 20 days. A permanently disabled account has one opportunity to appeal. We generally handle appeals within 3–5 business days.
8.3 Closing your account. You may close your account in the product. You cannot close it while a generation or review is still in progress or while a payment is awaiting reconciliation. When you close your account, we sign you out everywhere, withdraw your shared apps, and delete your chats, apps, and workspace content, which cannot be restored. Any remaining membership, points, reset cards, and referral rewards can no longer be used; if you believe you are eligible for a refund, contact support before closing your account. This does not limit your statutory rights. After your contact details have been anonymized under the Privacy Policy, you may register again with the same email address, but your previous content and benefits will not be restored.
8.4 When an account is terminated, any remaining points and reset cards expire, unless the law requires otherwise.
9. Third-Party Services
The Service relies on third-party providers, including model, cloud, email, SMS, payment (Shopify), and customer-support providers. Their outages or policy changes may affect the Service. We will work to limit the impact but are not responsible for third parties' conduct. Your use of a payment checkout is also subject to the payment provider's terms.
10. Disclaimer
To the fullest extent permitted by law, the Service is provided "as is" and "as available." We do not guarantee that the Service will be uninterrupted or error-free, or that Output will be accurate, complete, or fit for a particular purpose.
11. Limitation of Liability
To the fullest extent permitted by law, we are not liable for indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or goodwill. Our total liability for the Service is limited to the greater of the amount you paid us in the 12 months before the claim and US$100.
12. Indemnity
If a third party brings a claim against us because you violated these Terms or the Usage Policy, or because your Content infringes their rights, you agree to cover the resulting losses and reasonable costs.
13. Changes to These Terms
We may update these Terms. We will give advance notice of material changes by email or in-product notice and may ask you to accept them again. If you keep using the Service after the changes take effect, you accept the updated Terms.
14. Governing Law and Disputes
These Terms are governed by the laws of the Commonwealth of Kentucky, USA, without regard to its conflict-of-laws rules. Both parties will first try to resolve any dispute informally; if that fails, the state or federal courts located in Franklin County, Kentucky have exclusive jurisdiction, and both parties consent to their jurisdiction. This section does not deprive you of the protection of mandatory laws of the country where you live.
15. General
15.1 If the Chinese and English versions of these Terms differ, the English version prevails.
15.2 If any provision is found invalid, the remaining provisions stay in effect.
15.3 Our failure to enforce a right is not a waiver of that right.
